Welcome to Nexaverse AI. By accessing or using our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services.

1. Definitions

• "Services": All products, platforms, and services offered by Nexaverse AI, including NexaSpeech, NexaVideo, Document Intelligence Platform, and consulting services.
• "User," "You," "Your": Any individual or entity accessing or using the Services.
• "Content": Any data, text, audio, video, or files you upload or generate using our Services.
• "We," "Us," "Our": Nexaverse AI and its affiliates.

2. Acceptance of Terms

By creating an account or using our Services, you:

• Are at least 18 years old
• Have the authority to enter into these Terms
• Agree to comply with all applicable laws and regulations

3. Account Registration

To use certain Services, you must create an account:

• Provide accurate, complete, and current information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• You are responsible for all activities under your account

4. Use of Services

Permitted Uses

You may use our Services for lawful business purposes, including:

• AI transcription, video generation, and document analysis
• Automation of workflows and business processes
• Integration with your existing systems and tools

Prohibited Uses

You may NOT:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code, viruses, or malware
• Attempt to reverse-engineer or disrupt our Services
• Use Services to harass, abuse, or harm others
• Use Services for illegal activities (fraud, money laundering, etc.)
• Resell or redistribute Services without authorization
• Exceed usage limits specified in your plan

5. Intellectual Property

Our IP

All Services, including software, algorithms, designs, and branding, are owned by Nexaverse AI. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription.

Your Content

You retain all rights to Content you upload. By using our Services, you grant us a limited license to process, store, and analyze your Content solely to provide Services.

We do NOT claim ownership of your Content.

AI-Generated Outputs

Outputs generated by our AI services (transcripts, videos, analyses) are owned by you, subject to our license terms.

6. Data Privacy and Security

We take data privacy seriously. Please review our Privacy Policy for details on how we collect, use, and protect your information.

For healthcare customers using NexaSpeech or Document Intelligence, we provide Business Associate Agreements (BAAs) to ensure HIPAA compliance.

7. Payment and Billing

Subscription Plans

• Fees are based on your selected plan (Starter, Professional, Enterprise)
• Subscriptions renew automatically unless canceled
• Usage-based fees (e.g., per minute for NexaSpeech) are billed monthly

Payment Terms

• Payment is due upon invoice or subscription renewal
• We accept major credit cards and ACH transfers (Enterprise)
• Late payments may result in service suspension
• All fees are non-refundable unless otherwise stated

Price Changes

We reserve the right to change pricing with 30 days' notice. Existing subscriptions will be honored at current rates until renewal.

8. Service Level Agreement (SLA)

Uptime Guarantee

• Standard Plans: 99.5% monthly uptime
• Enterprise Plans: 99.9% monthly uptime with custom SLA

Support Response Times

• Standard Plans: Email support within 24 business hours
• Professional Plans: Email and phone support within 12 business hours
• Enterprise Plans: 24/7 support with 1-hour response time for critical issues

Downtime Credits

If we fail to meet uptime commitments, you may be eligible for service credits. Contact support to request credits.

9. Data Retention and Deletion

Retention Policies

• Active accounts: Data retained as long as account is active
• Deleted accounts: Data permanently deleted within 30 days
• Enterprise custom retention: Configurable per contract

Your Right to Delete

You may request deletion of your data at any time by contacting support. We will comply within 30 days, subject to legal retention requirements.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We provide Services "AS IS" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the fees you paid in the 12 months prior to the claim
• We are not liable for data loss, business interruption, or lost profits

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Your use of Services
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

By You

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay fees
• Abuse or misuse Services

Upon termination:

• Your access to Services will be revoked
• Your data will be available for download for 30 days
• After 30 days, data will be permanently deleted

13. Dispute Resolution

Governing Law

These Terms are governed by the laws of the United States.

Arbitration

Any disputes will be resolved through binding arbitration, not in court, except for:

• Claims for injunctive relief
• Small claims court actions

Class Action Waiver

You agree to resolve disputes individually, not as part of a class action.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting updated Terms on our website
• Sending email notification to your account email
• Updating the "Last Updated" date

Continued use of Services after changes constitutes acceptance of the updated Terms.

15. Miscellaneous

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Nexaverse AI.

Severability

If any provision is found unenforceable, the remaining provisions will remain in effect.

No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

Assignment

You may not transfer your rights under these Terms without our consent. We may assign our rights to affiliates or successors.
